Terms of Service

These Terms govern your access to and use of Niyora (the "Service"), operated by Operators of Niyora. By creating an account or using the Service you agree to these Terms, our Privacy Policy, Data Processing Terms and AI Use & Disclaimer.
1. Eligibility & accounts
The Service is for use by Company Secretary firms and their authorised users and clients. You must provide accurate registration details, keep your credentials confidential, and are responsible for all activity under your account. You must be authorised to bind your firm to these Terms.
2. Your responsibilities
- Use the Service only for lawful professional purposes and in compliance with applicable law, including the Companies Act 2013, SEBI regulations, the DPDP Act 2023 and ICSI standards.
- Ensure you have the right and authority to upload any client, director, shareholder or third-party data and to have it processed as described in our Data Processing Terms.
- Not misuse the Service: no unlawful, infringing, or harmful content; no attempts to breach security, reverse-engineer, scrape, or overload the platform; no sharing of credentials beyond your licensed seats.
3. AI features
The Service uses AI to assist with research, drafting, due diligence and form-filling. AI output is assistance, not professional or legal advice, and may be incomplete or incorrect. You remain the responsible professional and must independently review and verify every AI output before relying on it, sending it to a client, or filing it with any authority. 4. Subscriptions, billing & usage
Paid plans, seat counts, client limits and AI credit allowances are described on our pricing page and in your subscription. Fees are exclusive of applicable taxes (e.g. GST) unless stated. Usage beyond your plan may incur overage charges or be rate-limited. Unless required by law, fees are non-refundable. We may change pricing on prospective notice.
How to subscribe and pay. Subscriptions are currently arranged directly with us: contact sales@niyora.space to start, change or end a plan, and we will invoice you. We do not operate an online payment gateway and do not collect or store card or other payment-instrument details. If we introduce a payment provider in future it will be added to our Sub-processors page and notified to you before it processes any of your data.
5. Intellectual property
We and our licensors own the Service, its software and content. You own the data and documents you upload ("Your Content"). You grant us a limited licence to host, process and transmit Your Content solely to provide the Service (including to the sub-processors listed in our Privacy Policy). Documents generated for you using the Service are yours to use, subject to your verification of their accuracy.
6. Third-party services
Optional integrations (e.g. Google Drive, OneDrive, MCA/GST verification, the MCA Filer browser extension) are subject to those providers' own terms. You are responsible for connections you enable and for actions you take within your own authenticated government portal sessions.
7. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including fitness for a particular purpose, accuracy of AI output, or uninterrupted availability. We do not warrant that the Service constitutes legal, secretarial, tax or financial advice.
8. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special or consequential damages, or loss of profits or data. Our aggregate liability arising out of or relating to the Service is limited to the fees you paid to us in the twelve (12) months preceding the event giving rise to the claim. Nothing limits liability that cannot be excluded by law.
9. Suspension & termination
You may stop using the Service at any time. We may suspend or terminate access for breach of these Terms, non-payment, or where required by law. On termination we will, on request and subject to law, make Your Content available for export for a reasonable period before deletion.
10. Governing law & disputes
These Terms are governed by the laws of India. Subject to applicable law, the courts at [City, India] have exclusive jurisdiction, without prejudice to your statutory rights.
11. Changes
We may update these Terms. Material changes will be notified in-app and you will be asked to accept the updated Terms before continuing to use the Service.
